Terms of service

What you're buying, what it costs, what we owe each other and who owns what. Stated plainly, so nothing arrives as a surprise.

In short

  • The price is agreed in writing before any work starts.
  • You own what you pay for, with no lock-in.
  • Hosting keeps your platform running; content and new features are separate work.
  • Plans renew until you cancel, and cancelling stops the next payment.

About these terms

These terms cover every engagement between Centric Scale Systems, a business name registered with the Corporate Affairs Commission (BN 9698693) at Road 5, Close 64, Victoria Garden City, Ikota, Lagos State, Nigeria ("we", "us"), and the business engaging us ("you"). You accept them when you accept a proposal, make a payment or start using a service we've set up. If we sign a separate agreement with you, that agreement wins where the two differ. Our privacy policy is part of these terms.

The services

  • Solutions Mapping: a Scope Map or a System Blueprint, the planning before a build.
  • Development: builds delivered in phases against an agreed scope.
  • Managed Infrastructure: hosting, security, backups and monitoring, as a subscription.
  • Technical Solutions: a monthly retainer, as Technical Overseer or Technical Partner.

Each can be taken on its own. What each includes is on our website and in your proposal. We work with reasonable skill and care, but we can't guarantee commercial results such as traffic, rankings or sales.

Prices and quotes

Every engagement starts with a free 15-minute call. Prices on our website are starting prices for what's listed. Anything beyond that (more features, integrations or custom work) is quoted after we've discussed it, and confirmed in writing before work starts. If you ask for more once a build is under way, we tell you first whether it fits in the price or needs a new quote; we never charge for work you didn't approve. Prices are in naira, plus any tax the law requires.

Solutions Mapping

A Scope Map or System Blueprint is its own piece of work: paid in full before it starts, and never deducted from the price of a build. As soon as it's paid for, it's fully yours, to build with us or anyone else. The map is confidential to both of us.

Payment

Builds are paid in the stages set out in your proposal. Subscriptions and retainers are paid in advance through Paystack: monthly, or for 3 or 6 months at a discount, charged at the start of each period. Please keep a valid payment method on file. We may change subscription prices with 30 days' notice before a renewal; a change never applies to a period you've already paid for.

Renewal and cancellation

Subscriptions and retainers renew automatically until you cancel. Email us before the current period ends and nothing more is charged; your service runs to the end of what you've paid for, then we hand everything over. Payments already made aren't refunded part-way through a period. If you cancel a build in progress, you pay for the phases finished or under way, and we hand over that work.

What hosting includes, and what it doesn't

Managed Infrastructure covers hosting, isolated resources, uptime monitoring, backups and restores, firewall and malware protection, SSL, DNS and email delivery set-up, moving your site to us, and on Enterprise, a separate environment and a 2-hour incident response. It doesn't include content changes, new pages or features, design work, or development hours. Content updates are part of the Technical Partner retainer; new features are a build.

The free training and maintenance period after a build (one week for a landing page, one month for other builds) covers fixing faults in what we built and showing your team how to run it, not new work.

Your part

Send the content, access and approvals we need in good time (long delays can move delivery dates), keep your own accounts with other providers paid up, make sure what you give us is yours to use and lawful, and don't use our services for spam, malware or anything unlawful. Where your platform holds your customers' personal data, you are responsible for it under the NDPA.

Ownership

When a build is paid for in full, everything we made for you becomes yours: code, designs, repositories, hosting accounts and domains. Until then, it stays ours and is licensed to you for review. We keep our own general tools and templates, and you get a permanent, free licence to use any that are part of your platform. You keep everything you give us. Unless you ask us not to, we may show publicly visible work in our portfolio, never anything confidential.

Other providers

Your platform will rely on other services (payments, email, CRM and so on). Those accounts are in your name, paid by you, and governed by their own terms. We aren't responsible for their outages, changes or decisions.

Confidentiality

We keep everything you share with us confidential, during and after our work together, unless the law requires otherwise. Our proposals and pricing are confidential to you too.

Liability

We're not liable for indirect losses, such as lost profit, sales, data beyond our latest backup, or reputation. For anything else, our total liability is limited to the fees you paid us in the three months before the problem. Nothing here limits liability that Nigerian law doesn't allow us to limit. Please keep your own copy of any data that's critical to your business.

Late payment and suspension

If a payment fails, we'll tell you and you have 14 days to put it right before we may suspend the service. We keep your data for 30 days after that, and warn you before anything is deleted. We may suspend at once a service used unlawfully or one that threatens other sites we run. Either of us may end an ongoing service with 30 days' notice, or straight away if the other seriously breaches these terms and doesn't fix it within 14 days.

The rest

We may update these terms; the date at the top shows the latest version, and we'll email active clients 30 days before important changes. Neither of us is liable for delays caused by events outside our control. If part of these terms can't be enforced, the rest still applies. These terms are governed by the laws of the Federal Republic of Nigeria; we'll both try to settle any dispute by talking, then by mediation, before going to court.
